Legal Fee Estimate Template

A fee estimate helps a client plan for a matter that's billed by the hour, as long as it's honest about what could change. This template estimates an asset purchase by phase, with the expected hours of each timekeeper, and lists the things most likely to move the number.

  • Letter of intent
  • Due diligence
  • Purchase agreement
  • Closing
  • Costs

Notes

This estimate is valid for 30 days. It's an estimate, not a fixed fee. Time is billed at our hourly rates in tenths of an hour.

What could change it: how organized the seller's records are, how much the agreement is negotiated, leases or licenses that need consent to transfer, lender requirements, and any issues found in due diligence. Not included: tax advice, financing documents, real estate purchases, and employment matters. We'll tell you early if the work is heading past this estimate.

Our engagement letter will set out the scope and terms once you're ready to go ahead.

Frequently asked questions

Is a legal fee estimate binding?

Generally not. An estimate is a good-faith forecast, and the engagement letter sets the actual fee terms. Saying so on the estimate, and explaining what could change it, avoids surprises later.

What makes legal fees exceed an estimate?

Usually more negotiation than expected, disorganized records, problems found in due diligence, or added parties such as lenders and landlords. Telling the client early when work is heading past the estimate keeps their trust.

Is this legal fee estimate template free?

Yes. Read and copy the full text on this page, or edit it online and see it as your client will. When it's ready, start a free Clientary trial to send it or download it as a PDF.

Has a lawyer reviewed this template?

No. It's a general starting point written by Clientary, not legal advice, and it hasn't been reviewed by a lawyer for your situation or the laws where you and your client work. Have your own counsel review it before you use or sign it.
