Coaching Agreement Template

A coaching agreement makes the relationship clear before the first session: how many sessions, what happens when one is missed, what stays private, and what a paying employer hears. This template covers each of those, and says plainly that coaching isn't therapy or professional advice.

This Coaching Agreement is made on [Contract Date] between [Company Name] ("Coach") and [Client Name] ("Client").

1. Coaching Services

Coach will provide 12 coaching sessions of 60 minutes each, by video call or in person, over six months from the first session (the "Package"). Between sessions, Client may email Coach with short questions and updates, and Coach will reply within two business days.

2. Scheduling and Cancellation

  • Sessions are scheduled in advance at times that suit both parties.
  • Client may move a session with at least 24 hours' notice. A session cancelled with less notice, or missed, counts as held.
  • If Coach needs to move a session, Coach will offer a new time at no charge.

3. Using the Package

Sessions should be used within the six months. Any sessions not used expire 30 days after the six months end, and aren't refunded, except as set out in section 8.

4. Confidentiality

Coach will keep what Client shares confidential. Coach will only disclose it with Client's written consent, if there is a risk of serious harm to Client or others, or if the law requires it.

If Client's employer or another organization pays for the coaching (the "Sponsor"), Coach will report only attendance and, with Client's consent, general themes and progress toward agreed goals. Coach won't share what Client says in sessions.

5. What Coaching Is and Isn't

Coaching helps Client set goals, think through choices, and act on them. It isn't therapy, counseling, or medical, legal, or financial advice, and isn't a substitute for any of them. If Coach believes another kind of support would serve Client better, Coach will say so, and may pause the coaching.

6. Client's Responsibilities

Client is responsible for their own decisions and actions, and for their results. Client agrees to come to sessions prepared, to be open about what is and isn't working, and to tell Coach of anything that affects the coaching, such as a health concern.

7. Fees and Payment

The Package fee is $7,200, payable in full on signing, or in two installments of $3,600, on signing and at the start of the fourth month. Invoices are due within 15 days. Coach may pause sessions while a payment is more than 15 days late.

8. Ending the Agreement

Either party may end this agreement with 14 days' written notice. Sessions held are paid for at $600 each, and Coach will refund any payment beyond that. If Coach ends the agreement without cause, Coach will refund payment for all sessions not yet held.

9. Limitation of Liability

Coach's total liability under this agreement is limited to the fees Client has paid. Neither party is liable for indirect or consequential losses.

10. General

This agreement is governed by the laws of [state or country]. It is the entire agreement between the parties and may only be changed in writing. If any part is found unenforceable, the rest remains in effect.

By signing below, both parties agree to these terms.

Frequently asked questions

Do coaches need a written agreement?

It's good practice. An agreement sets expectations about sessions, cancellations, payment, and confidentiality, and gives both sides a reference if a question comes up later.

What's the difference between coaching and therapy?

Coaching focuses on goals and actions in the present and future, with a client who is generally well. Therapy is a licensed health service that treats mental health conditions. Coaching agreements usually say coaching isn't a substitute for it.

Is this coaching agreement template free?

Yes. Read and copy the full text on this page, or edit it online and see it as your client will. When it's ready, start a free Clientary trial to send it or download it as a PDF.

Has a lawyer reviewed this template?

No. It's a general starting point written by Clientary, not legal advice, and it hasn't been reviewed by a lawyer for your situation or the laws where you and your client work. Have your own counsel review it before you use or sign it.
